Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Planisphere API and related services (the "Service"), provided by PlanisphereUS, Corp. ("Planisphere," "we," "us"). By creating an account or API key, or using the Service, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind it.

1. The Service

Planisphere provides software that records supervision decisions and produces verifiable evidence (records, receipts, and audit trails) about actions and outputs you submit for gating and verification. It is a records-and-evidence tool that operates on metadata and hashes. It is not legal, medical, compliance, or export-control advice; it does not determine legality; and it does not certify compliance.

2. Accounts and API keys

You are responsible for your account, your API keys, and all activity under them. Keep keys secret. Sandbox/test keys produce non-production receipts marked dev_key:true and must not be relied upon or presented as production evidence.

3. Acceptable use

You agree not to use the Service unlawfully or to violate any third party's rights; not to breach or circumvent its security or rate limits; and not to misrepresent sandbox/test receipts as production evidence.

3.1 Regulated data. Unless you have a separate written agreement with us that expressly permits it (such as a Business Associate Agreement for PHI, or a Data Processing Agreement), you must not submit to the Service any protected health information (PHI), payment card data, government-classified or export-controlled information, or other data subject to sector-specific regulatory obligations ("Regulated Data"). The Service is not, by default, offered or configured as a compliant processor of Regulated Data. You are solely responsible for what you submit and for determining whether your use complies with the laws applicable to you.

4. Your content

You retain all rights to the data you submit ("Your Content"). The Service is content-minimizing: it does not persist your raw payloads and stores only hashes and raw-safe metadata needed to produce evidence. You grant us the limited right to process what you submit solely to provide the Service.

5. Fees

Paid use is billed as described at signup and checkout. Fees are non-refundable except as required by law. We may change pricing prospectively.

6. Intellectual property

The Service, and all software, methods, and content we provide, are owned by Planisphere. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. Evidence artifacts we generate for you are yours to use and verify.

7. No warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ITS EVIDENCE WILL SATISFY ANY PARTICULAR LEGAL OR REGULATORY REQUIREMENT.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLANISPHERE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM.

9. Indemnification

You will indemnify and hold Planisphere harmless from claims arising out of your use of the Service, Your Content, your submission of Regulated Data in violation of Section 3.1, or your violation of these Terms or applicable law.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or to protect the Service. Provisions that by their nature should survive will survive termination.

11. Changes

We may update these Terms; material changes will be posted here with an updated effective date. Continued use after changes means you accept them.

12. Governing law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules.
